DSIL/2025-2026/128 dated August 19, 2025, and pursuant to Regulation 44(3) of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 ( Listing Regulations ), we are submitting herewith the following documents in respect of the 31st Annual General Meeting ( AGM ) of the Company held on Tuesday, August 19, 2025, at 12:15 p.m. (IST) at the Registered Office of the Company, Dwarikesh Nagar 246 762, District Bijnor, Uttar Pradesh:a) Annexure A: Combined voting results of remote e-voting together with physical voting conducted during the AGM, in relation to the resolutions set out in the Notice of AGM, as required under Regulation 44 of the Listing Regulations.b) Annexure B: Consolidated Scrutinizer s Report dated August 20, 2025, issued pursuant to Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014.The voting results along with the Scrutinizer s Report are also available on the Company s website at www.dwarikesh.com.We further inform that the proceedings of the 31st AGM were concluded at 2:15 p.m. (IST).You are requested to kindly take the same on record.
