IndiGrid Infrastructure Trust - IndiGrid Infrastructure Trust - Outcome of Board Meeting

IndiGrid Infrastructure Trusts) Regulations, 2014, as amended from time to time, read with circulars and guidelines issued thereunder ( SEBI InvIT Regulations ) or any other applicable laws, we hereby inform that a meeting of the Board of Directors ( Board ) of IndiGrid Investment Managers Limited ( IIML ) acting in the capacity of Investment Manager to IndiGrid Infrastructure Trust ( IndiGrid ) was held today i.e. October 10, 2025, wherein the Board considered, and approved, inter-alia, the following matters: - 1. An enabling resolution to raise capital upto an aggregate value not exceeding INR 1,500 crore, subject to receipt of necessary approvals from statutory, regulatory and other authorities as applicable, including but not limited to by way of issue of Units of IndiGrid to its eligible Unitholders on a right basis ( Rights Issue ) or Preferential Issue or Institutional Placement and/ or any other mode, in accordance with the applicable provisions of the SEBI InvIT Regulations and other applicable laws and; 2. Obtaining Unitholders approval for the above matter either through an Extra-ordinary General Meeting or Postal Ballot.
