UVS Hospitality completes acquisition of 34.76% stake in Calcio Restaurants via share swap

UVS Hospitality and Services Limited, formerly Thirdwave Financial Intermediaries Ltd., announced the allotment of 23,87,257 equity shares on a preferential basis to shareholders of Calcio Restaurants Private Limited for consideration other than cash, completing the acquisition of a 34.76% stake in Calcio. The transaction, valued at Rs 23,87,25,700, was facilitated through a share swap and aims to consolidate operations, enhance strategic value, and create an integrated corporate structure for both companies. Calcio Restaurants Private Limited, incorporated in September 2020, operates hotels and restaurants and reported a turnover of INR 52,03,17,699 in fiscal year 2024-25, INR 27,84,43,004 in 23-24, and INR 10,26,39,041 in 22-23.
